A former in-house counsel and management consultant, Brecken Cutler provides insightful and practical solutions on a variety of corporate and transactional matters.

EXPERIENCE

Brecken Cutler has advised businesses on corporate and commercial matters for more than 15 years. Her in-house and client experience has fostered a deep understanding of best practices in a variety of industries, from data and software licensing to traditional manufacturing operations. She engages with her clients on the unique challenges that arise as businesses grow, counseling entrepreneurs as they navigate all stages of the business life cycle.

As part of her work supporting clients with their growth strategies, Brecken drafts, reviews, and negotiates a host of agreements, including technology-focused transactions such as data, software, and other intellectual property licenses and assignments, service agreements, research and development agreements, co-marketing agreements, and social media marketing and influencer agreements. This includes negotiating a multi-stage $400 million platform services and data licensing deal between the leading provider of location services data and a leading tablet producer.

Brecken also handles traditional commercial matters, such as consulting agreements, manufacturing agreements, both inbound and outbound supply terms, distribution and agency agreements, transportation services agreements, and confidentiality and non-disclosure agreements. Her international experience includes negotiating a complex original device manufacturing agreement with a Chinese technology manufacturer as well as a $150 million sole source supply contract with a global chemical company.

With a wealth of in-house corporate compliance and governance experience including the design and development of compliance training materials, templates, corporate policies and procedures, and website terms and conditions, Brecken advises directors and senior management on compliance issues, often drafting memoranda and consent documentation for board meetings.

Brecken previously served as senior legal counsel for the digital mapping division of Nokia and as counsel for several manufacturing businesses within metals industry powerhouse Rio Tinto Alcan. Prior to law school, Brecken consulted for a Chicago-based telecommunications software startup and in the retail supply chain group of PwC.
